This Terms of Use Agreement (“Agreement”) constitutes a legally binding agreement between Wobbletree. (“Wobbletree,” “we,” “our,” or “us”) and the client (“Client,” “you,” or “your”), whether personally or on behalf of an entity, regarding access to and use of Wobbletree's website (wobbletree.com) and any associated services, products, or resources (collectively, the “Services”). By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by the terms outlined in this Agreement. If you do not agree with these terms, you must discontinue your use of our Services immediately.

1. Intellectual Property

   Unless otherwise stated, all content, materials, designs, functionality, software, graphics, images, and text available on the Wobbletree website and related Services (“Content”) are the sole property of Wobbletree. All trademarks, logos, and service marks displayed on our website are owned or licensed by Wobbletree unless explicitly stated otherwise. You may not copy, modify, distribute, republish, or exploit any portion of our Content without our prior written consent.

2. Ownership of Materials

   Upon completion and full payment of a project, all original design and source files created by Wobbletree on your behalf (“Projects”) will be transferred to you. You retain exclusive ownership and copyright for these materials unless otherwise agreed in writing. You warrant that any materials, content, or assets provided to Wobbletree for use in your Projects do not infringe on the intellectual property rights of third parties. Wobbletree reserves the right to showcase completed Projects on digital channels such as our website and social media unless a Non-Disclosure Agreement (NDA) explicitly prohibits such use.

3. Use of Third-Party Fonts and Assets

   If your Project incorporates third-party fonts, stock images, or other assets requiring a commercial license, Wobbletree will inform you in writing. It is your responsibility to purchase the appropriate licenses. Wobbletree is not liable for any legal consequences arising from the misuse of unlicensed third-party assets.

4. Client Representations

   By using our Services, you represent and warrant that:

   • You have the legal capacity and authority to enter into this Agreement.

   • Your use of our Services does not violate any applicable laws or regulations.

   • You will not engage in prohibited activities as outlined in this Agreement.

5. Prohibited Activities

   You agree not to:

   • Use our Services for unlawful or unauthorized purposes.

   • Attempt to reverse-engineer or interfere with any part of our Services.

   • Harass, threaten, or defame Wobbletree or its team members.

   • Upload malicious code, viruses, or any harmful materials to our website.

   Wobbletree reserves the right to terminate access to our Services for violations of this Agreement.

6. Payments, Refunds, and Ownership

   Payment Terms:

   • Payments are due as outlined in your Service Agreement or Invoice.

   • Late payments may incur a fee of 5% of the overdue balance per 14-day period.

   Refund Policy:

   • Refund requests are evaluated on a case-by-case basis.

   • If a refund is granted during the first month of engagement, all materials created by Wobbletree remain the exclusive property of Wobbletree and cannot be used by the Client.

   • Refunds are subject to a processing fee of 25% of the remaining contract value.

7. Service Availability

   Wobbletree does not guarantee uninterrupted access to its website or Services. We are not responsible for delays, disruptions, or downtime caused by technical issues beyond our control.

8. Limitation of Liability

   Wobbletree shall not be held liable for any indirect, incidental, or consequential damages arising from your use of our Services, including but not limited to loss of revenue, data, or opportunities.

9. Privacy Policy

   Your use of our Services is subject to our Privacy Policy, which is incorporated herein by reference. By agreeing to these Terms, you also consent to the practices outlined in our Privacy Policy.

10. Governing Law

    This Agreement is governed by the laws of the United Kingdom. Any disputes arising from this Agreement will be resolved in the courts of England and Wales.

11. Amendments

    Wobbletree reserves the right to modify this Agreement at any time. Any changes will be posted on our website, and continued use of our Services constitutes acceptance of the revised terms.
